HOA Addendum

Drafts a binding addendum to a residential purchase agreement ensuring full disclosure of HOA obligations, financial commitments, and use restrictions.

Prerequisites

Gather before drafting:

  • Executed purchase agreement — date, parties, property ID
  • HOA identification — legal name, address, management company, incorporation status
  • Current financials — regular/​special assessments, reserve fund status, transfer and capital contribution fees
  • Governing documents — CC&Rs, bylaws, articles, rules, architectural guidelines (recording info if available)
  • Property details — legal description, APN, subdivision name

5. Buyer Acknowledgments & Contingencies

Acknowledgment block:

  • Receipt of addendum and all referenced HOA documents (or right to receive within specified period)
  • Agreement to be bound by current and future HOA rules adopted per governing documents
  • Opportunity to consult legal counsel
  • Buyer's duty to independently verify HOA information
  • Seller's good-faith limitation of liability for HOA information accuracy

Document review contingency (if applicable):

  • Contingency period: typically 3–10 days from document receipt
  • Termination procedure: written notice with specified delivery method
  • Earnest money disposition upon termination

6. Execution Block

  • Separate signature line (printed name, signature, date) for each buyer and seller
  • Effective only when executed by all parties
  • Survives closing unless otherwise specified
  • Conflict provision: addendum controls over purchase agreement on all HOA-related matters

Drafting Rules

  • Reference the purchase agreement by date and parties in the opening recital
  • Use plain language; maintain legal precision on obligation and remedy terms
  • Number all sections for cross-reference
  • Include header (property address + "HOA Addendum") and footer (page numbers) on every page
  • Do not opine on HOA financial health — present disclosed facts only
  • If recording info is unavailable, note "to be provided" rather than omitting

Pitfalls

  • Jurisdiction variance: state disclosure requirements differ significantly — flag jurisdiction-specific provisions (e.g., VA resale certificate, FL HOA disclosure, CA Civil Code §4525 packet rules) [VERIFY]
